Council Bond Agreement

Under this Domestic Medium Term Note Programme (the “Programme”), the Ekurhuleni Metropolitan Municipality (the “Issuer” or “EMM”) may from time to time issue notes (the “Notes”) denominated in South African Rand subject to the terms and conditions (the “Terms and Conditions”) described in this Programme Memorandum. Any other terms and conditions not contained in the Terms and Conditions which are applicable to any Notes will be set forth in a pricing supplement (the “Applicable Pricing Supplement”) issued in relation to such Notes.
